A JPG has no transparency, so every transparent pixel has to become a solid colour. Most converters silently pick white, which is why converted logos so often show a pale box on a coloured page. For a photograph, dramatically. For a flat graphic or a screenshot it can go the other way, because JPG is bad at sharp edges and text.

No. Once transparency has been flattened into a JPG it is gone. Keep the PNG if you might need it again.
